TERMS OF BUSINESS
Agreement: The terms outlined herein, including all schedules, proposals, and quotations as agreed between the parties.
Client: The party engaging the services of Novaco Design.
Confidential Information: Any information disclosed by either party in relation to business operations, strategies, or other proprietary content.
Fees: The amount payable by the Client as specified in the proposal or quotation.
Force Majeure: Any unforeseen event preventing the fulfilment of obligations, including but not limited to natural disasters, governmental actions, pandemics, industrial disputes, or infrastructure failures.
Intellectual Property: All trademarks, copyrights, design rights, and other proprietary rights owned by either party.
Services: The interior architecture and design services provided by Novaco Design, as described in the project proposal.
Termination: The process by which either party may lawfully exit the Agreement.
2.1 Each party warrants that it has the legal capacity and authority to enter into this Agreement.
2.2 This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
2.3 Each party shall comply with all applicable laws, including data protection and anti-corruption legislation.
3.1 Novaco Design shall deliver the Services with due care, skill, and diligence in accordance with best industry practice.
3.2 The Client shall provide all necessary documents, materials, and approvals in a timely manner to facilitate service delivery.
3.3 Novaco Design shall not be liable for any inaccuracies or deficiencies in Client-supplied materials.
3.4 The Client shall ensure final approval of designs before execution; any changes post-approval may incur additional costs.
4.1 All Fees shall be payable within 30 days of invoice date.
4.2 Additional services beyond those outlined in the proposal shall be subject to additional fees, agreed in writing.
4.3 Late payments shall attract interest at 5% per month above the Bank of England base rate.
4.4 Work shall not commence until any required deposits have been paid in full.
5.1 Novaco Design retains ownership of all intellectual property in designs created under this Agreement.
5.2 All materials supplied by the Client remain the Client’s property, provided they do not infringe third-party rights.
6.1 Either party may terminate this Agreement immediately if the other:
6.2 If the Client terminates the Agreement for reasons other than those in Clause 6.1, a 30-day notice is required, and all outstanding invoices must be paid before project assets are released.
6.3 Novaco Design reserves the right to charge for any work completed up to the termination date, including costs for materials and services procured.
6.4 If Novaco Design elects to terminate the Agreement early for any reason, no further work shall be completed, and no additional invoices shall be raised beyond those covering work completed up to the termination date. The Client shall not be liable for further fees beyond what has already been invoiced.
7.1 If a party is unable to perform its obligations due to a Force Majeure event, those obligations shall be suspended for the duration of the event.
7.2 The affected party must notify the other party promptly, detailing the impact and anticipated duration.
7.3 If a Force Majeure event continues for more than 60 days, either party may terminate the Agreement without liability.
8.1 Each party shall keep confidential any proprietary or sensitive information received from the other party.
8.2 Confidentiality obligations shall survive termination of this Agreement.
8.3 This clause does not apply to information that becomes publicly available through no fault of the receiving party or is required to be disclosed by law.
9.1 If a dispute arises, the parties shall attempt to resolve it amicably within 30 days.
9.2 If unresolved, the matter shall be referred to mediation through the British Chambers of Commerce.
9.3 If mediation fails, disputes shall be settled in the courts of England and Wales.
10.1 Novaco Design’s total liability in contract, tort, or otherwise shall be limited to the Fees paid under this Agreement.
10.2 Neither party shall be liable for indirect or consequential losses including loss of profits, data, or business.
10.3 The Client shall indemnify Novaco Design against claims arising from third-party intellectual property infringement caused by Client-supplied materials.
11.1 Any amendments to this Agreement must be agreed in writing by both parties.
11.2 No waiver of any right under this Agreement shall be deemed effective unless in writing.
11.3 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
